1. Introduction and acceptance

Welcome to Clips! These Terms of Use (“Terms”) govern your use of the Clips application and our website at https://clips.5km.tech (together, “Clips”). Clips is owned and operated by 5KM Tech, LLC, a Delaware limited liability company (“we”, “us”). By installing, accessing or using Clips, you agree to be bound by these Terms. If you do not agree, do not install or use Clips.

Our Privacy Policy explains how personal data is handled; please read it too.

2. The beta programme

Clips is currently in public beta. This means:

  • Free of charge. You may use the beta at no cost.
  • Pre-release software. It may contain defects, behave unexpectedly, or lose data. Features may change or be removed.
  • Each beta build expires. A beta build is valid for 45 days from the day it was built. After that, a short grace period follows (currently 7 days). When the grace period ends, that build stops recording new clipboard items until you update to a newer build. Your existing history remains viewable, copyable and exportable. The app shows the remaining time in Settings → About.
  • Automatic updates. Clips checks for new builds automatically and offers to install them. Updating to the latest build is how you keep using the beta. We may also shorten or extend the validity of a build through a digitally signed policy file, for example to retire a build with a serious defect.
  • Changes to the beta. We may change, suspend or end the beta, or the availability of any build, at any time.

3. Licence

Subject to your compliance with these Terms, 5KM Tech, LLC grants you a personal, non-exclusive, non-transferable, revocable licence to install and use Clips on Windows devices that you own or control, for your own personal or internal business purposes.

You may not:

  • Reverse engineer, decompile, disassemble or otherwise try to obtain the source code of Clips, except to the extent that applicable law expressly forbids this restriction;
  • Modify, adapt, translate or create derivative works based on Clips;
  • Rent, lease, lend, sell, sublicense or otherwise transfer Clips to a third party, or redistribute the installer. You may link to our website so that others can download Clips from us;
  • Remove or alter any copyright or other proprietary notice in Clips;
  • Use Clips to develop or distribute a competing product or service.

4. Your data and your responsibility

Your clipboard history is yours. It is stored on your PC, and we do not receive it (see the Privacy Policy). This means that you are also responsible for it:

  • Back it up. We have no copy of your history and cannot recover it. Clips is not a backup tool. Do not rely on Clips as the only copy of anything important.
  • Mind what you copy. Clips records what you copy, which can include passwords, financial details and other sensitive information. Use the per-app ignore rules for programs you do not want recorded, and clear the history when you need to. Protect your Windows account and disk, because anyone with access to them can read your history.
  • Use Clips lawfully. You are responsible for using Clips lawfully and reasonably, and for the consequences of improper use or of breaking applicable laws.

5. Feedback

If you send us feedback, suggestions or ideas, you let us use them freely, in any way and without payment or obligation to you, including in our products. You keep ownership of anything you send that is yours, and we will not publish your name or email address as a result of your feedback without your permission.

6. Intellectual property

Clips, including its software code, design, user interface, graphics, icons and documentation, is the proprietary work of 5KM Tech, LLC and is protected by copyright and other laws. Except for the limited licence in Section 3, and the rights that third-party components give you under their own licences (Section 7), no rights are granted to you under these Terms, whether by implication, estoppel or otherwise.

7. Third-party components

Clips includes third-party and open-source components, including the Microsoft Edge WebView2 runtime that Windows provides. They are governed by their own licences, which apply to those components and not to the rest of Clips. These components are provided “as is” by their authors. Nothing in these Terms means that the authors or owners of those components endorse Clips.

8. Paid licences in the future

Clips is free during the beta. If we introduce paid licences later, they will come with their own purchase and refund terms, which you will see before you buy.

9. Disclaimer of warranty

Clips, and especially beta builds, are provided “as is” and “as available”. To the fullest extent permitted by applicable law, 5KM Tech, LLC makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted or error-free operation, or that Clips will not lose, miss or expose data. We do not promise that any item you copy will be recorded or stay available.

10. Limitation of liability

To the fullest extent permitted by applicable law, 5KM Tech, LLC shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or in connection with your use of or inability to use Clips, even if we have been told of the possibility of such damages. Because the beta is free, our total liability to you for all claims relating to Clips will not exceed US$50. Nothing in these Terms limits liability that cannot be limited by law, and some places do not allow certain limits, so they may not apply to you in full.

11. Termination

You may stop using Clips at any time by uninstalling it. Your rights under these Terms end automatically, without notice from 5KM Tech, LLC, if you fail to comply with them. We may also end the beta or your access to it, as described in Section 2. On termination you must stop using Clips and delete the copies in your possession or control. Sections 4 to 6 and 9 to 13 continue to apply after termination.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or your use of Clips is subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to these Terms

5KM Tech, LLC may change these Terms at any time. Changes take effect when the revised Terms are posted on our website, and the date at the top shows when. If you keep using Clips after that, you accept the changes. If you do not agree, stop using Clips.
